You first need to steal a Dark Matter from Zeromus, and in the New Game +, wait until before you go to the moon. This bad guy will appear in two areas. He'll first appear in place of the four archfiends battle you fight in the Giant of Babil, and he'll also appear on Mt. Ordeals, at the peak of the mountain. To get to fight Proto-Babil, first you must steal a Dark Matter from Zeromus. Then once you arrive at the Moon, there is a rock with a carving of a head somewhere on the Moon. Choose to use the Dark Matter in front of the rock and you will be forced into a battle with Proto-Babil.
